Your legal team has enough on its plate. Let's take something off.

Commercial contract overflow and flexible legal support for in-house teams. Extra capacity without another full-time hire.

Next Clause provides flexible commercial legal support to businesses managing contract backlogs, vendor negotiations, technology agreements and day-to-day legal work. You work directly with a BC lawyer who has worked in-house, including as a company's first in-house counsel, and as a contract lawyer with national firms.

How I work with your team

Plugged into how you already work.

  • Your playbook, your templates. I work from your positions and approval thresholds.
  • Your tools. Email, Slack, Teams or your contract management system, whichever your team already uses.
  • Clear escalation. Anything outside agreed parameters comes back to your team to decide.
  • Defined scope. What's included, turnaround expectations and fees are agreed in writing before work begins.
  • Conflict check first. No work starts until conflicts are cleared and the engagement agreement is signed.

Questions

Questions legal teams ask.

Can an existing legal department outsource commercial contract negotiations?

Yes. I can take on a defined stream of work, such as customer agreements, vendor contracts or data processing agreements, working from your templates and playbooks and escalating to your team as agreed.

Will you follow our playbook and templates?

Yes. I work from your positions, fallbacks and approval thresholds, and flag anything outside them for your team to decide.

Is this short-term or ongoing?

Either. Some teams need help with a defined project or a temporary gap, such as a leave or a hiring freeze. Others want recurring capacity each month. Scope and fees are agreed in writing before work begins.

How do conflicts and confidentiality work?

Before any engagement I run a conflict check. Once engaged, your information is protected by solicitor-client confidentiality and the engagement agreement.

Where do you practise?

I'm licensed to practise law in British Columbia. For matters governed by the laws of other jurisdictions, I coordinate with appropriately qualified local counsel where required.
